Oura files to list on Nasdaq

Oura Inc. filed a Form S-1 registration statement with the Securities and Exchange Commission on 3 September 2026, proposing to list on the Nasdaq Global Select Market under the symbol OURA. The number of shares and the price range are still blank in the prospectus.
The financials are the substance of the filing. For the nine months ended 30 June 2026 Oura reported revenue of $1,214.5 million against $697.6 million a year earlier, growth of 74%. Gross margin rose to 55% from 51%. Net income was $60.8 million against $1.6 million, and adjusted EBITDA $106.7 million against $83.5 million. Paid members doubled to 5.0 million from 2.5 million, and cumulative rings sold reached 3.1 million from 1.8 million.
A profitable consumer biosensor company at this scale is a new thing. The wearables that preceded it either sold hardware at thin margins or were absorbed by phone makers; Oura’s numbers show a subscription attached to a sensor, with the membership count growing as fast as the device count. What the filing tests is whether continuous physiological measurement supports a standalone public company, or whether it remains a feature that larger platforms eventually take.
